Promoter Agreement

This Promoter Agreement ("Agreement") is issued by EventPass Ticketing Limited ("EventPass", "we", "us") and governs the relationship between EventPass and any promoter ("you", "Promoter") who publishes events, sells tickets, or receives payouts through the EventPass platform. By creating a promoter account, submitting an event for review, or otherwise using EventPass in a promoter capacity, you accept and agree to be bound by this Agreement.
1. Eligibility and Verification
To act as a Promoter on EventPass you must be at least eighteen (18) years old and legally entitled to enter into this Agreement. You must complete your promoter profile (display name, contact phone, and contact email) and submit verification documents confirming your authority to represent the person, organization, or company for whose events you are selling tickets. EventPass may approve, decline, or revoke verification at its sole discretion. You may not publish events until your account has been verified.
2. Promoter Responsibilities
You are solely responsible for the accuracy, completeness, and lawfulness of every event you list, including its title, description, category, date and time, venue and address, parish and city, ticket tiers and pricing, images, promo video, and audio clips. You must hold all necessary permits, licences, and consents required to host and sell tickets to your event under the laws of Jamaica.
You agree to deliver the event as advertised, manage entry and ticket validation at the venue, and handle direct attendee inquiries regarding the event experience. EventPass facilitates ticket sales and validation but is not the event organizer and is not responsible for event execution, cancellations, or disputes between you and your attendees.
2.1 Live Streaming
You may optionally stream your event live by pasting a YouTube or Facebook live link into the Live Stream Control on your event's dashboard and starting the stream yourself; ending it is likewise your own action. Once live, the stream is embedded on your event's public page and is visible to any visitor, not only ticket holders — EventPass does not gate it to confirmed purchasers. Starting a stream also posts an automatic update to your event's Community section and sends a notification to your confirmed ticket holders.
You are solely responsible for the legality and appropriateness of everything you stream, for holding any rights or licences needed for streamed content (for example, music playing at the venue), and for your own compliance with YouTube's or Facebook's respective terms of service. EventPass does not monitor streams in progress, is not responsible for their availability, quality, or continuity, and may remove a stream or the community post it generated if it violates this Agreement or the Terms of Service.
3. Listing Fees and Add-On Fees
A non-refundable listing fee is charged for each event you submit for review and is payable before the event is published. Optional add-on fees apply to the homepage carousel banner and the promo video feature. These fees, and any applicable tax (GCT), are set out in the fee configuration shown to you at the time of submission and are locked at the amount you pay.
Listing, carousel banner, and promo video fees are non-refundable, except where EventPass rejects your event during admin review, in which case the listing fee may be refunded at EventPass's discretion. Promotional discounts and fee waivers, where offered, are applied automatically and may be withdrawn or modified at any time.
4. Service Fees and Tax
A service fee is added to each online ticket purchase and is paid by the ticket buyer at checkout. EventPass charges no commission, percentage, or fee on your online ticket sales or on the payout of your online ticket revenue — you receive 100% of the ticket price for each confirmed online ticket (less any refunded amounts). The service fee is paid by the customer and is not deducted from your payout. A separate percentage-based gate sales fee applies to in-person cash/card sales you make at the door; the buyer pays you the full ticket price directly, and the gate fee (plus any tax on it) is deducted from that specific event's own online sales payout balance. Tax (GCT) is applied to service fees and promoter add-on fees as required by law. EventPass collects and remits tax on these fees. The service fee percentage, the gate sales fee percentage, and any fixed component are defined in the platform fee configuration and may be updated by EventPass; changes apply to tickets sold after the update takes effect.
5. Ticket Pricing, Currencies, and Payments
You set the ticket price for each tier. Tiers may be priced in Jamaican Dollars (JMD) or United States Dollars (USD). All payments are processed securely through EventPass's payment partner (Fygaro). EventPass does not store full card details. Ticket revenue is collected on your behalf and remitted to you as a payout in accordance with Section 6.
Discount codes may be created and applied to your events at your discretion, restricted to specific tiers and usage limits. You are responsible for any reduction in revenue resulting from discount codes you issue.
5.1 Gate Sales (Cash Tickets at the Door)
You may opt in to selling tickets directly at your event's gate ("gate sales") by enabling gate sales for an event and setting an at-the-gate price on one or more ticket tiers. Gate sales are processed by you or by staff you authorize and are settled in cash or by card at the point of sale (for example, via a POS terminal) — EventPass does not collect, hold, or process the payment.
For each ticket sold at the gate (whether for cash or card), EventPass issues a digital ticket with a unique QR code and 6-digit code identical to an online ticket, so it scans at the door and (where a buyer email is captured) appears in the buyer's My Tickets. The applicable service fee and the tax on that fee are deducted from that event's payout balance; gate fees may be configured separately from the online service fee. To keep your payout balance from going negative, a gate sale is automatically blocked if the event's available payout pool cannot cover the fee and tax on that order, so you can never end up owing the platform for cash you collected.
Because you collect the payment directly, refunds for gate-sold tickets are handled by you in person. The customer must return to the event to receive their refund, and EventPass cannot process a refund to the customer for a gate sale since it never held the payment. When you cancel a gate ticket from your dashboard, the fee and tax deduction that was applied to your payout balance is reversed.
You are responsible for the accuracy of any buyer name or email captured at the gate, for issuing a receipt or ticket stub where required, and for complying with applicable cash- and card-handling, tax, and consumer-protection obligations. Staff you authorize to sell at the gate act on your behalf, and you are responsible for their conduct, their cash handling, and any errors they make.
6. Payouts and Bank Details
EventPass remits your ticket revenue (the base ticket price for confirmed online tickets, less any refunded amounts and less any gate sales fees owed on that event, plus tax on them) to the bank account you register in your promoter dashboard. EventPass charges no commission on your online ticket sales and no payout, withdrawal, or processing fee — you receive 100% of the ticket price for each confirmed online ticket (less any refunded amounts). In-person cash/card sales made at the door carry a separate percentage-based gate sales fee: the buyer pays you the full ticket price directly at the gate, and the fee (plus tax on it) is deducted from that specific event's own online sales payout balance — so a gate sale can only be completed if that event has enough online sales revenue banked to cover it. You must provide accurate bank account details and keep them current. Payouts may be made in JMD or USD according to the currency of your bank account.
Payouts are released 3 days after your event concludes. For a multi-day event, this hold period begins after the final day ends, and the event is paid out as a single balance. For a recurring event, EACH OCCURRENCE is paid out separately: the 3-day hold begins after that specific occurrence ends, independent of the series as a whole — you are not required to wait until the last scheduled date of the series to be paid for earlier dates. This hold allows time for late refund requests, chargebacks, or disputes tied to the relevant date to surface before funds are disbursed.
Payouts may be held, delayed, or reversed where a chargeback, dispute, refund, or suspected fraudulent transaction affects the corresponding ticket revenue. EventPass reserves the right to offset amounts owed to you against refunds, chargebacks, or fees payable to EventPass. Bank details you provide are stored securely and used solely for processing payouts.
7. Refunds and Chargebacks
Refund requests from your attendees may be initiated by you or by EventPass on your behalf. Where a refund is processed, the corresponding ticket revenue will be reversed from your payout. You agree to cooperate with EventPass in responding to chargebacks and payment disputes and to provide any information reasonably requested.
You may disable refunds for an individual event using the "Allow refunds" toggle when creating or editing that event. Every event details page displays a Refund Policy section indicating the refund status — "Refunds available" when enabled and "No refunds for this event" when disabled — so buyers are informed before purchasing. When refunds are disabled, attendees cannot request refunds for that event through the platform. You may still wish to restate your no-refund policy in the event description for additional clarity. Disabling refunds does not prevent you from manually initiating a refund from your dashboard, nor does it override refunds EventPass is required to process by law or for a cancelled event.
EventPass may, at its discretion and in line with the platform Refund Policy, process refunds to attendees for cancelled, postponed, or materially altered events. Where you cancel or postpone an event, you remain responsible for communicating with your attendees and honouring the platform's refund commitments.
Gate sale tickets (cash or card). Tickets sold at the gate — whether the buyer paid in cash or by card on your POS terminal — are refunded by you directly. The customer must return to the event and request the refund from you, since you collected the payment. EventPass does not hold the payment and cannot process a refund to the customer for a gate sale. Cancelling a gate ticket from your dashboard reverses the fee and tax deduction that was applied to your payout balance, but the refund itself is your responsibility.
8. Ticket Validation and Staff Access
Each ticket is issued a unique QR code and 6-digit ticket code for validation at the door. You may invite scanner staff and grant them access codes to validate tickets for your events. You are responsible for the conduct of any staff you invite and for revoking access when staff leave your team. Tickets validated as checked in cannot be reused, and tickets that have been officially transferred are reissued with fresh codes.
To keep check-in working without a signal, a device used to scan your event's tickets — yours or an invited staff member's — may temporarily cache attendee names, ticket codes, and check-in status for that event locally on the device. You are responsible for ensuring that you and your staff keep such devices reasonably secure (e.g. a device lock/passcode) and promptly report a lost or stolen scanning device so its access can be revoked.
9. Content and Intellectual Property
You retain ownership of the content you submit (event titles, descriptions, images, videos, and audio clips). By submitting content, you grant EventPass a non-exclusive, royalty-free licence to display, reproduce, and distribute that content solely for the purpose of operating and promoting the platform and your listed event. You warrant that you hold all rights to the content you submit and that it does not infringe the rights of any third party.
The EventPass name, logo, and branding remain the intellectual property of EventPass Ticketing Limited and may not be used to imply endorsement or affiliation without written consent.
10. Prohibited Events and Conduct
You may not list events that involve gambling, raffles, lotteries, adult or sexual entertainment, weapons, illegal substances, counterfeit goods, or any activity prohibited by the laws of Jamaica. You may not use EventPass to promote or direct attendees to events, ticket sales, or registration pages that are not listed on EventPass, including by posting external links in event descriptions, community posts, comments, or reviews.
You may not resell tickets above face value outside the platform's official transfer feature, engage in fraudulent activity, manipulate pricing or stock, or misrepresent an event. EventPass reserves the right to remove any event that violates this Agreement without notice and to withhold related payouts pending review.
11. Event Review and Removal
All events are subject to admin review before publication. EventPass may approve, request changes to, or reject an event at its discretion. Published events may be removed from the platform at any time for violation of this Agreement, applicable law, or platform policy. Where a published event is removed, EventPass will notify you and, where appropriate, refund the listing fee.
12. Suspension and Termination
EventPass may suspend or terminate your promoter account at any time, with or without cause, including for breach of this Agreement, fraudulent activity, listing prohibited events, or repeated attendee complaints. Upon termination, your events may be removed and your access revoked. You forfeit any non-refundable fees already paid, and EventPass will remit any net revenue lawfully owed to you after deducting refunds, chargebacks, and outstanding fees.
13. Indemnification
You agree to indemnify, defend, and hold harmless EventPass Ticketing Limited, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or in connection with your events, including event cancellations, attendee disputes, inaccurate event information, infringement of third-party rights, or breach of this Agreement.
14. Limitation of Liability
EventPass provides the platform on an "as is" basis and is not liable for event cancellations, venue changes, attendee disputes, or any indirect, incidental, or consequential damages arising from your use of the platform. EventPass's aggregate liability to you under this Agreement is limited to the fees you have paid to EventPass in the three (3) months preceding the claim.
15. Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of Jamaica, including the Data Protection Act, 2020. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Jamaica, unless otherwise required by applicable consumer protection law.
16. Changes to this Agreement
We may update this Agreement from time to time. Material changes will be communicated to active promoters. Continued use of EventPass as a promoter after changes take effect constitutes acceptance of the updated Agreement.
